EntityRise Terms of Service

1. Agreement to these Terms
These Terms of Service ("Terms") govern your use of the EntityRise website at entityrise.ai (including entityrise.ai/pl), the EntityRise application, and the services described below (together, the "Services"). The Services are operated by Smophy Labs Inc., a Delaware corporation, 16192 Coastal Highway, Lewes, Delaware 19958, United States ("Smophy Labs", "EntityRise", "we", "us"). EIN available on request for invoicing purposes.
By creating an account, placing an order, or using the Services, you agree to these Terms. If you are acting on behalf of a company or other organisation, you confirm that you are authorised to bind it, and "you" refers to that organisation.
The Services are intended for businesses and professionals. If you use them as a consumer, nothing in these Terms limits rights that apply to you under mandatory consumer-protection law.
2. The Services
EntityRise measures how AI systems (including ChatGPT, Claude, Gemini, Grok and Perplexity) describe, cite and recommend a business, and implements changes intended to improve that visibility. We offer four services:
- AI Visibility Audit (USD 19, one-time). An automated report for one business and one website, generated from information you submit and from publicly available web content. It contains measured visibility results, a competitor and citation comparison, a readiness assessment and a prioritised action plan. Delivered in the application as a downloadable PDF, normally within minutes and at most within 24 hours.
- Expert Audit (USD 499, one-time). A fresh AI Visibility Audit plus a human review of every finding by an EntityRise specialist, written expert commentary in the report, an ordered implementation plan, and - at your choice - a 30-minute call or written answers by email to up to five questions. Delivered within 3-5 business days of purchase.
- Implementation Sprint (USD 5,000; for companies registered in Poland PLN 12,000 net). A fixed six-week project in which we implement six agreed improvements covering your website's technical setup, the content and proof on your pages, and your presence on outside sources; verify each change; and measure the same customer questions again at the end. Includes a planning call or written proposal, texts ready to publish with one round of revisions, access to the monitoring dashboard and a direct chat channel with our team for the six weeks, and a final before/after report.
- Growth Service (from USD 3,500 per month; for companies registered in Poland from PLN 8,900 net per month; three-month minimum term). An ongoing monthly programme of implementation, outside-source work (reviews, listings, mentions) and continuous measurement, with full access to the monitoring dashboard and a direct chat channel with our team for the duration of the engagement.
The exact scope of an Implementation Sprint or Growth Service engagement is set out in the written proposal or order confirmation we send you. That document forms part of these Terms for that engagement.
3. Accounts
You need an account to purchase and access the AI Visibility Audit and the Expert Audit. You must provide accurate information, keep your login credentials confidential, and tell us promptly at contact@entityrise.com if you believe your account has been used without authorisation. You are responsible for activity under your account.
You must be at least 18 years old to use the Services.
4. Prices, currency and payment
The AI Visibility Audit and the Expert Audit are priced in US dollars for all customers worldwide and are paid by card at the time of purchase through our payment provider, Stripe. We do not store your full card details.
The Implementation Sprint and the Growth Service are quoted after a planning call or written exchange and are paid by invoice. Companies registered in Poland are invoiced in Polish złoty; all other customers are invoiced in US dollars. The invoicing currency is determined by the country in which your company is registered, not by the language version of the website you use.
Unless stated otherwise, prices exclude VAT, sales tax and similar taxes. Where we are required to charge tax, it is added at checkout or on the invoice. Business customers in the European Union may provide a valid VAT identification number so that the reverse-charge mechanism can be applied where available.
Invoices are due within 14 days of the invoice date unless the proposal states otherwise. The Growth Service is invoiced monthly in advance. If an invoice is overdue, we may pause work and dashboard access until payment is received.
We may change our prices for future purchases at any time. A price change does not affect an order you have already placed or an engagement already confirmed in writing.

5. Delivery, cancellation and refunds
- AI Visibility Audit. The report is generated automatically and is not refundable once it has been delivered to your account. If the report cannot be generated because of a fault on our side, we will re-run it or refund the purchase in full.
- Expert Audit. Not refundable once the human review has been delivered. If we do not deliver within 10 business days of purchase for reasons not caused by you, you may request a full refund.
- Implementation Sprint. You may cancel in writing before the kick-off date for a full refund of any amount already paid. After kick-off, fees for work already completed are not refundable; any prepaid amount for work not yet started will be refunded. The six-week schedule depends on your cooperation (see section 6); delays caused on your side extend the schedule but do not entitle you to a refund.
- Growth Service. The minimum term is three months. After the minimum term, either party may end the engagement by giving 30 days' written notice. Fees for months already invoiced are not refundable, and there are no refunds for partial months.
- Chargebacks. Please contact billing@entityrise.ai before disputing a charge with your card issuer; most issues can be resolved directly.
6. Your responsibilities
The Services depend on information and access that only you can provide. You agree to:
- provide accurate information about your business, website, products and competitors, and correct the business profile we show you before the audit runs; for the Implementation Sprint and the Growth Service, give us the access we need (for example to your website or content management system, Google Search Console and analytics) or make a developer available, and provide a decision-maker who can approve changes and replies within two business days;
- review and approve any content we prepare before it is published on your website or on third-party platforms;
- use the Services only for businesses and websites you own or are authorised to represent;
- not use the Services to submit false information, to harass or defame any person or business, or in violation of any law.
You are responsible for the accuracy and legality of the content published on your website, including content we drafted and you approved.
7. Ownership and licence
You keep all rights to your website, your brand and the material you give us. We keep all rights to the EntityRise software, measurement methodology, scoring system, dashboards and report templates.
When you have paid for a report or a deliverable, we grant you a non-exclusive, perpetual, worldwide licence to use it for your own business, including publishing content we prepared for you on your website. You may also use the Services for your own clients: agencies, consultants and other professionals may order AI Visibility Audits and Expert Audits for the businesses they serve and resell them at a price of their choice, with their own branding where the application offers it. No separate agreement is needed. Three rules apply: (a) the measured results, scores, provider and date information and the methodology and limitations section may not be altered or removed; (b) you are responsible for your relationship with your client, including any promises you make, support you provide and claims that arise, and Smophy Labs is not a party to that relationship; (c) you may not state or imply that Smophy Labs endorses, certifies or partners with you unless you have joined a written partner programme. Other deliverables (Sprint and Growth work) are produced for a named business and may not be resold.
This open resale option reflects our current policy. We may change or limit it in the future, for example by moving reseller and white-label use into a partner programme with its own terms and pricing; any such change will be announced in accordance with section 19 and will not affect audits already purchased. If reselling EntityRise audits is part of your business, we recommend contacting us at contact@entityrise.com to set up an official partnership, so that your terms are secured before any change takes effect.
We may use anonymised, aggregated measurement data (which does not identify you or your business) to improve our methodology and to publish industry insights. We will not name you, show your logo or describe your results publicly without your prior written permission.
8. No guaranteed results
AI visibility is measured, not controlled. The answers given by ChatGPT, Claude, Gemini, Grok, Perplexity and other AI systems and search engines depend on the provider's models, data, prompts, location, date and other factors we do not control, and they change over time. Every report is a point-in-time measurement.
We guarantee that we will complete the work we have agreed to, report transparently on what we measured and how, and measure your priority questions again after implementation. We do not guarantee that any AI system or search engine will mention, cite, rank or recommend your business, or any increase in traffic, leads or revenue. Any figures shown on our website or in a sample report are illustrative unless they are labelled as your own measured results.
Results obtained through a provider's API may differ from what the same provider shows in its consumer application. Our reports state which providers, models and dates were used.
9. Third-party services
To provide the Services we use third-party providers, including AI model providers (such as OpenAI, Anthropic, Google, xAI and Perplexity), Stripe for payments, and providers of hosting, email, scheduling and analytics. Their availability and terms are outside our control. If a provider is temporarily unavailable, we will disclose incomplete measurements in the report rather than treat missing results as zero.
The Services are not affiliated with, endorsed by or sponsored by any AI provider or search engine.
10. Ethical practices
We do not create fake reviews, fabricate testimonials, invent customers, certifications or figures, or make claims about your business that you have not confirmed. Any review-request workflow we run on your behalf is opt-in for the reviewer, neutral as to sentiment, and follows the rules of the review platform concerned. We will decline work that requires deceptive practices.
11. Confidentiality
Non-public information you give us (such as credentials, internal documents, unpublished plans or customer data) is used only to deliver the Services. We do not share it with your competitors or with any third party except our service providers where necessary to deliver the Services, or where required by law. Publicly available content on your website is treated as public. Our handling of personal data is described in our Privacy Policy.
12. Communication
A voice call is never required to use the Services. Every step that involves a conversation - the Expert Audit review, the planning of an Implementation Sprint or Growth Service engagement - can be completed by email instead. We reply to written requests within two business days. Implementation Sprint and Growth Service clients also have a direct chat channel with our team for the duration of the engagement, in which we reply within one business day.
13. Acceptable use of the website and application
You may not attempt to interfere with the operation or security of the Services, access data that is not yours, scrape or copy the Services or reports at scale, reverse-engineer our software, or use automated tools to place orders. We may suspend or terminate accounts that breach these Terms.
14. Disclaimer of warranties
Except as expressly stated in these Terms, the Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
15. Limitation of liability
To the fullest extent permitted by law, Smophy Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising from or related to the Services, even if advised of the possibility of such damages.
Our total liability for all claims arising from or related to the Services in any 12-month period is limited to the amount you paid us for the Services in that period. Nothing in these Terms limits liability that cannot be limited under applicable law.
16. Indemnification
You agree to indemnify and hold harmless Smophy Labs and its officers, employees and contractors from claims, damages and reasonable costs (including legal fees) arising from your breach of these Terms, the content of your website, or your use of the Services in violation of law or of any third party's rights.
17. Termination
You may close your account at any time by contacting contact@entityrise.com. We may suspend or terminate your access if you breach these Terms, fail to pay amounts due, or use the Services abusively. Sections 7, 8, 11 and 14-18 survive termination. Reports you have already paid for remain available for download for at least 90 days after termination unless termination was due to your breach.
18. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Before starting any formal proceedings, the parties will try in good faith to resolve the dispute by contacting each other in writing and allowing 30 days for a resolution. Any dispute that cannot be resolved this way will be brought in the state or federal courts located in Delaware, and each party consents to their jurisdiction. If you are a consumer in the European Union, you may also rely on the mandatory consumer laws and dispute-resolution bodies of your country of residence.
19. Changes to these Terms
We may update these Terms from time to time. The current version, with its effective date, is always published at entityrise.ai/terms. Material changes will be announced by email or in the application at least 14 days before they take effect. Continued use of the Services after that date means you accept the updated Terms. Changes do not apply retroactively to engagements already confirmed in writing.
