EntityRise Terms of Service

These Terms of Service ("Terms") govern your use of the EntityRise website at entityrise.ai (including entityrise.ai/pl), the EntityRise application, and the services described below (together, the "Services"). The Services are operated by Smophy Labs Inc., a Delaware corporation, 16192 Coastal Highway, Lewes, Delaware 19958, United States ("Smophy Labs", "EntityRise", "we", "us"). EIN available on request for invoicing purposes.

By creating an account, placing an order, or using the Services, you agree to these Terms. If you are acting on behalf of a company or other organisation, you confirm that you are authorised to bind it, and "you" refers to that organisation.

The Services are intended for businesses and professionals. If you use them as a consumer, nothing in these Terms limits rights that apply to you under mandatory consumer-protection law.

EntityRise measures how AI systems (including ChatGPT, Claude, Gemini, Grok and Perplexity) describe, cite and recommend a business, and shows which findings to act on first. EntityRise does not carry out implementation work on your website or elsewhere. The Services currently offered publicly are:

• EntityRise AI Visibility Audit ($49 USD, one-time). Automated, evidence-backed, point-in-time diagnosis for the business and website you submit. It uses confirmed business information, an approved buyer-question test set, available public evidence and configured AI-search providers to produce an interactive report with measured findings, Search & AI Readiness and a prioritised Fix Plan. The report records the scope and providers actually tested.
• Audit packs (Basic: 20 audits for $780; Premium: 50 audits for $1,650; Agency: 100 audits for $2,800; one-time). Prepaid credits used in your dashboard. One credit runs one complete AI Visibility Audit for any business you own or are authorised to represent or, as an agency, for a business you are preparing an offer for, based only on public information about it. Credits are valid for 12 months from purchase. Packs include white-label reports (section 7), a chat with our team (section 12) and, in Premium and Agency, online training for your team on using the audit and acting on its findings, arranged through the team chat.
• Expert Audit ($499, one-time). Fresh AI Visibility Audit with every finding verified by a person, written expert commentary in the report and an ordered plan of concrete steps, plus a 30-minute call or written answers by email. Delivered within 3 to 5 business days after you confirm the scope.

EntityRise does not perform implementation, content, technical or outreach work. Reports and the Expert Audit recommend actions; you, your team or your agency decide whether and how to carry them out.

You need an account to purchase and access the EntityRise AI Visibility Audit. You must provide accurate information, keep your login credentials confidential, and tell us promptly at contact@entityrise.ai if you believe your account has been used without authorisation. You are responsible for activity under your account.

You must be at least 18 years old to use the Services.

Prices are stated in US dollars. The AI Visibility Audit, audit packs and the Expert Audit are paid by card at the time of purchase through our payment provider, Stripe. We do not store your full card details.

Unless stated otherwise, prices exclude VAT, sales tax and similar taxes. Where we are required to charge tax, it is added at checkout or on the invoice. Business customers in the European Union may provide a valid VAT identification number so that the reverse-charge mechanism can be applied where available.

We may change our prices for future purchases at any time. Price changes do not affect a purchase you have already made or credits you have already bought.

• EntityRise AI Visibility Audit. The report is generated automatically and is not refundable once it has been delivered to your account. If the report cannot be generated because of a fault on our side, we will re-run it or refund the purchase in full.
• Audit packs. Each pack is refundable in full within 14 days of purchase if no credit has been used. After the first credit is used, or after 14 days, a pack is not refundable. Unused credits expire 12 months after purchase without a refund. Any credit spent on an audit that could not be generated because of a fault on our side is returned to your balance.
• Expert Audit. Refunded in full if we cannot deliver it; not refundable once delivered.
• Chargebacks. Please contact billing@entityrise.ai before disputing a charge with your card issuer; most issues can be resolved directly.

The Services depend on information and access that only you can provide. You agree to:

• provide accurate information about each business, website, products and competitors you submit, and correct the business profile we show you before an audit runs; when you run an audit for a client, you confirm that you are allowed to submit the client's business information;
• use the Services only for businesses and websites you own or are authorised to represent or, as an agency, for a business you are preparing an offer for, using only public information about that business and without presenting the report as commissioned or endorsed by it;
• not use the Services to submit false information, to harass or defame any person or business, or in violation of any law.

You are responsible for the accuracy and legality of the content published on your website and for any action you take based on a report.

You keep all rights to your website, your brand and the material you give us. We keep all rights to the EntityRise software, measurement methodology, scoring system, dashboards and report templates.

When you have paid for a report, we grant you a non-exclusive, perpetual, worldwide licence to use it for your own business and for your clients. You may resell reports at a price of your choice. Reports created with pack credits may be delivered under your own name and logo, without EntityRise branding. Three rules apply: (a) the measured results, scores, provider and date information and the methodology and limitations section may not be altered or removed; (b) you are responsible for your relationship with your client, including any promises you make, support you provide and claims that arise, and you must not promise your client a position or recommendation in any AI system; Smophy Labs is not a party to that relationship; (c) you may not state or imply that Smophy Labs endorses or certifies you.

We may use anonymised, aggregated measurement data (which does not identify you or your business) to improve our methodology and to publish industry insights. We will not name you, show your logo or describe your results publicly without your prior written permission.

AI visibility is measured, not controlled. The answers given by ChatGPT, Claude, Gemini, Grok, Perplexity and other AI systems and search engines depend on the provider's models, data, prompts, location, date and other factors we do not control, and they change over time. Every report is a point-in-time measurement.

We commit to delivering the reports you buy and reporting transparently on what we measured and how. We do not guarantee that any AI system or search engine will mention, cite, rank or recommend your business, or any increase in traffic, leads or revenue. Any figures shown on our website or in a sample report are illustrative unless they are labelled as your own measured results.

Results obtained through a provider's API may differ from what the same provider shows in its consumer application. Our reports state which providers, models and dates were used.

To provide the Services we use third-party providers, including AI model providers (such as OpenAI, Anthropic, Google, xAI and Perplexity), Stripe for payments, and providers of hosting, email, scheduling and analytics. Their availability and terms are outside our control. If a provider is temporarily unavailable, we will disclose incomplete measurements in the report rather than treat missing results as zero.

The Services are not affiliated with, endorsed by or sponsored by any AI provider or search engine.

We do not create fake reviews, fabricate testimonials, invent customers, certifications or figures, or make claims about your business that you have not confirmed. Any review-request workflow we run on your behalf is opt-in for the reviewer, neutral as to sentiment, and follows the rules of the review platform concerned. We will decline work that requires deceptive practices.

Non-public information you give us (such as credentials, internal documents, unpublished plans or customer data) is used only to deliver the Services. We do not share it with your competitors or with any third party except our service providers where necessary to deliver the Services, or where required by law. Publicly available content on your website is treated as public. Our handling of personal data is described in our Privacy Policy.

No voice call is ever required to use the Services. Audit packs from 20 audits include a chat with our team in English or Polish for as long as the pack's credits are valid, on business days; we aim to reply within one business day but do not guarantee a response time. You may not attempt to interfere with the operation or security of the Services, access data that is not yours, scrape or copy the Services or reports at scale, reverse-engineer our software, or use automated tools to place orders. We may suspend or terminate accounts that breach these Terms.

Except as expressly stated in these Terms, the Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, Smophy Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising from or related to the Services, even if advised of the possibility of such damages.

Our total liability for all claims arising from or related to the Services in any 12-month period is limited to the amount you paid us for the Services in that period. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless Smophy Labs and its officers, employees and contractors from claims, damages and reasonable costs (including legal fees) arising from your breach of these Terms, the content of your website, or your use of the Services in violation of law or of any third party's rights.

You may close your account at any time by contacting contact@entityrise.ai. We may suspend or terminate your access if you breach these Terms, fail to pay amounts due, or use the Services abusively. Sections 7, 8, 11 and 14-18 survive termination. Reports you have already paid for remain available for download for at least 90 days after termination unless termination was due to your breach.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Before starting any formal proceedings, the parties will try in good faith to resolve the dispute by contacting each other in writing and allowing 30 days for a resolution. Any dispute that cannot be resolved this way will be brought in the state or federal courts located in Delaware, and each party consents to their jurisdiction. If you are a consumer in the European Union, you may also rely on the mandatory consumer laws and dispute-resolution bodies of your country of residence.

We may update these Terms from time to time. The current version, with its effective date, is always published at entityrise.ai/terms. Material changes will be announced by email or in the application at least 14 days before they take effect. Continued use of the Services after that date means you accept the updated Terms. Changes do not apply retroactively to purchases already made.
